The Parties agree to first attempt to negotiate any Dispute informally for at least thirty days before initiating arbitration. Informal negotiations begin upon written notice from one Party to the other.
If the Parties cannot resolve a Dispute informally, the Dispute will be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association and, where appropriate, the AAA Consumer Rules.
The AAA rules are available at www.adr.org. Arbitration may take place in person, by document submission, by phone, or online. Unless otherwise required, arbitration will take place in King County, Washington.
If a Dispute proceeds in court rather than arbitration, it shall be brought in the state and federal courts located in King County, Washington.
No Dispute may be commenced more than one year after the cause of action arose.
Any arbitration shall be limited to the Dispute between the Parties individually. No arbitration shall be joined with another proceeding, arbitrated on a class-action basis, or brought in a representative capacity.
The following Disputes are not subject to informal negotiations or binding arbitration: disputes concerning intellectual property rights, allegations of theft, piracy, invasion of privacy, unauthorized use, or claims for injunctive relief.
